I wouldn’t be so sure about that.は「それはちょっとどうでしょうか」とやんわり反論する時に使われる表現です。thatは話題の内容を指します。

I’m not sure.というフレーズがありますが、これは「わからない・知らない」（= I don’t know.）です。これに対し、I wouldn’t be so sure. は「そうかなあ。そうは思えないけどなあ」というニュアンスになります。文法的には仮定法で、「私があなたの立場なら（if I were you）」という含みで「そこまで確信を持てないだろうなあ」なのです。反論ではI don’t think so.やI disagree with you.と言ってもよいのですが、これらはより直接的な言い方です。
